Throughout these Terms, "we," "us," or "the lab" refers to PHILMON LLC d/b/a Cardinal SEO. "You" or "client" refers to the individual or entity engaging our services.
// 2. Acceptance
By using this website, submitting an inquiry, or signing a Service Agreement, you agree to these Terms. If you don't agree, please don't use the site or engage our services.
// 3. Services
Cardinal SEO provides applied SEO engineering services, including: data and codebase audits; eval set development; ML model design and implementation (retrieval, classification, document parsing, copilots); production deployment with monitoring; advisory engagements. The specific scope, deliverables, and timeline for each engagement are defined in a separate written Service Agreement.
// 4. Engagement & payment
Engagements are governed by a Service Agreement specifying scope, deliverables, fees, and term. Standard terms: 50% deposit at kickoff for project work; remainder due on delivery; monthly retainers invoiced at the start of each calendar month, payable within 14 days; 30 days notice required to terminate.
// 5. Client obligations
- Provide timely access to relevant codebases, data, and team members
- Provide feedback within agreed turnaround windows
- Pay invoices on time
- Notify us promptly of changes in scope or direction
// 6. Intellectual property
All deliverables produced under a Service Agreement (code, models, eval sets, documentation) become the property of the client upon full payment. Cardinal SEO retains ownership of its proprietary frameworks, templates, and tooling, which may be reused across engagements but never client-specific data, models, or code.
All content on this website — including the studio's name, brand identity, written content, and visual design — is the property of PHILMON LLC.
// 7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. We may reference completed engagements in our marketing materials only with explicit written client approval, and will anonymize details where requested. NDAs available on request.
// 8. Performance disclaimer
While we apply best practices and have a track record of strong client outcomes, we cannot guarantee specific performance metrics. ML systems depend on data quality, infrastructure, and many factors outside our control. Past performance of other clients is not an indicator of your specific results.
// 9. Limitation of liability
To the maximum extent permitted by law, PHILMON LLC's total liability for any claim arising from your use of the site or our services is limited to the amount paid by you under the Service Agreement during the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
// 10. Indemnification
You agree to indemnify and hold harmless PHILMON LLC from claims arising from: (a) your use of code or models we deliver; (b) the data you provide to us; (c) violations by you of third-party API or vendor terms after we have flagged them.
// 11. Termination
Either party may terminate with 30 days written notice. Upon termination, the client retains all completed deliverables. Pre-paid retainer fees are non-refundable for work already performed; unused portions of pre-paid future months are refunded pro-rata.
// 12. Governing law
These Terms are governed by the laws of the State of New Mexico, USA. Any dispute will be resolved in the state or federal courts located in New Mexico, USA.
